Terms of Service

These Terms of Service (“Terms”) govern your use of BaseCrown's services, including our AI Operating Systems, pilot engagements, and any related work (collectively, the “Services”). By engaging BaseCrown or using our Services, you agree to these Terms.
1. Who We Are
BaseCrown designs and builds AI Operating Systems for business revenue operations, including outbound lead generation, inbound lead capture, and custom AI systems.
2. The Pilot Engagement
Every engagement begins with a paid pilot. The pilot fee covers the design and build of a working system using data you provide. Completion of a pilot does not guarantee a specific outcome, result, or volume of qualified leads — it demonstrates the system operating on your real data under the conditions available at the time.
3. Client Responsibilities
To deliver the Services, we require timely access to relevant data, tools, and points of contact on your side. Delays in providing access or approvals may extend project timelines and are not the responsibility of BaseCrown.
4. Payment Terms
Fees are due as outlined in the applicable pricing agreement at the time of engagement. Pilot fees are due before work begins. Setup fees (less any applicable pilot credit) and monthly fees are due according to the payment schedule agreed upon at conversion. Overage fees, where applicable, are billed at the end of each billing period. Late payments may result in suspension of Services.
5. API Costs and Overage
Monthly fees include up to $1,000 in API costs incurred in delivering the Services. Costs exceeding $1,000 in any given month will be invoiced as overage at actual cost plus 20%, as described on our Pricing page. Low-usage months do not result in refunds or credits.
6. Intellectual Property
BaseCrown retains ownership of its underlying systems, frameworks, agent architecture, and proprietary methods. Upon full payment, you receive a license to use the specific system built for your business for as long as your account remains active and in good standing. This license does not transfer ownership of BaseCrown's underlying technology.
7. Confidentiality
Both parties agree to keep confidential business information shared during the engagement private, and to use it only for the purpose of delivering or receiving the Services.
8. No Guarantee of Results
BaseCrown builds systems designed to improve lead generation, qualification, and capture. We do not guarantee specific revenue outcomes, conversion rates, or business results, as these depend on factors outside our control, including your market, offer, pricing, and sales process.
9. Limitation of Liability
To the extent permitted by law, BaseCrown's total liability for any claim arising from the Services is limited to the amount paid by you for the Services in the three months preceding the claim. BaseCrown is not liable for indirect, incidental, or consequential damages.
10. Termination
Either party may terminate an ongoing monthly engagement with written notice, as specified in the applicable service agreement. Pilot and setup fees are non-refundable once work has begun.
11. Changes to These Terms
We may update these Terms from time to time. Continued use of our Services after changes take effect constitutes acceptance of the updated Terms.
